1. Introduction
Welcome to the Eureka Friday Night Markets ("Event"), produced and managed by Humboldt Made ("Company," "Producer," "We," "Us," "Our"). These Terms and Conditions ("Terms") govern your application, participation, and attendance at the Event. By applying to participate or attending the Event, you agree to comply with and be bound by these Terms.
2. Definitions
Vendor: Any individual or entity applying to sell products or services at the Event.
Performer: Any individual or group applying to perform at the Event.
Attendee: Any person attending the Event.
Participant: Collectively refers to Vendors, Performers, and Attendees.
Event Space: The location where the Event is held, which operates under a privately held permit.
3. Application Process
3.1 Vendor and Performer Applications
All Vendors and Performers must complete the appropriate application form provided by the Company.
Applications must be submitted by the deadlines specified on the Event's official website or marketing materials.
The Company reserves the right to accept or reject any application at its sole discretion.
3.2 Fees and Payments
Application fees, booth fees, and any other associated costs must be paid in full by the deadlines specified.
Failure to pay fees on time may result in the rejection of the application or revocation of participation rights.
4. Participation Requirements
4.1 Vendor and Performer Obligations
All Vendors and Performers must comply with all local, state, and federal laws, as well as Event-specific rules and regulations.
Liability waivers provided by the Company must be completed and submitted before participation. Vendors or Performers who fail to submit these waivers will not be allowed to participate.
All products and performances must align with the family-friendly nature of the Event.
4.2 Attendee Conduct
Attendees must adhere to all Event rules and regulations.
Any behavior that the Company believes may interfere with the safety or enjoyment of other Participants or the family-friendly environment of the Event may result in removal from the Event.
5. Right to Refuse Participation
5.1 General Right to Refuse
The Company reserves the right to refuse participation to any applicant, Vendor, Performer, or Attendee at its sole discretion.
Participation is not guaranteed and is subject to the Company's review and approval process.
5.2 Grounds for Refusal
Incomplete or falsified application forms.
Failure to submit required fees or documentation, including liability waivers.
Products or performances deemed inappropriate for the family-friendly nature of the Event.
Behavior, either before or during the Event, that may interfere with the safety or enjoyment of other Participants or the general atmosphere of the Event.
Any other reason the Company deems appropriate to maintain the integrity, safety, and positive environment of the Event.
5.3 Attendee Behavior
Any unacceptable behavior exhibited by an Attendee, either before or during the Event, that the Company believes may interfere with the safety of other Participants or the positive family-friendly environment of the Event may result in a request for the individual to leave and not attend the Event during the permitted hours.
The Company reserves the right to remove any Attendee from the Event at its sole discretion.
6. Event Rules and Regulations
6.1 Setup and Teardown
Vendors and Performers must adhere to the designated setup and teardown times provided by the Company.
All equipment and materials must be confined to the assigned booth or performance area.
Booths must be staffed at all times during Event hours.
6.2 Health and Safety
All Participants must comply with all health and safety regulations.
The Company may impose additional health and safety requirements as deemed necessary.
Participants must ensure their setup does not obstruct fire lanes, exits, or access to emergency services.
6.3 Permitted Items
Only items approved by the Company may be sold or distributed at the Event.
The sale or distribution of illegal or prohibited items will result in immediate expulsion from the Event.
6.4 Noise Levels
Vendors and Performers must comply with the Event's noise level regulations to avoid disturbing other Participants and the surrounding community.
Amplified sound is subject to approval by the Company and must be kept within acceptable limits.
7. Liability and Indemnification
7.1 Liability Waivers
All Vendors and Performers must sign and submit a liability waiver provided by the Company.
The Company is not liable for any loss, damage, or injury incurred by Participants or their property.
7.2 Indemnification
Participants agree to indemnify and hold harmless the Company, its officers, employees, and agents from any and all claims, damages, losses, and expenses arising out of or resulting from their participation in the Event.
7.3 Insurance
Vendors and Performers are required to carry appropriate insurance coverage for their activities.
Proof of insurance may be requested by the Company at any time.
8. Intellectual Property
8.1 Use of Event Name and Logo
The use of the Event's name, logo, and branding by Vendors and Performers is subject to prior written approval from the Company.
Unauthorized use of the Event's intellectual property is prohibited.
8.2 Vendor and Performer Content
Vendors and Performers grant the Company the right to use images, videos, and other content from the Event for promotional purposes.
Participants retain ownership of their own intellectual property used or displayed at the Event.
9. Termination and Amendment
9.1 Termination
The Company reserves the right to terminate the participation of any Vendor, Performer, or Attendee for violation of these Terms or for any reason deemed necessary to maintain the integrity of the Event.
9.2 Amendment
The Company reserves the right to amend these Terms at any time. Participants will be notified of any changes and are expected to comply with the updated Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from these Terms or the Event shall be resolved in the courts of Humboldt County, California.
11. Force Majeure
The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, or governmental actions.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms constitute the entire agreement between the Company and Participants regarding the Event and supersede any prior agreements or understandings, whether written or oral.
